DOS-Boot problem with RTL8139

Dear Gurus,

when I try to boot DOS 6.22 diskless (eprom code starts from floppy at
the moment), everything works fine with 3coms 3c509, but the machine
crashes 
with a RTL8139 card from "level one" when DEVICE=C:\DOS\HIMEM.SYS
/TESTMEM:OFF gets executed from config.sys. If I comment out the
himem.sys line in config.sys, I get a DOS-prompt, but typing a simple
command like DIR or ECHO causes all sorts of strange behaviour - mostly
the prompt never reappears.
Any idea?   (I used etherboot 4.2.7 and mknbi-dos from netboot 0.8.1)
